EU opens in-depth probe into XXXLutz's planned takeover of Porta, owner of ASKO in Czechia and Slovakia

On 12 October 2026 the European Commission opened an in-depth investigation into the proposed acquisition of the German furniture group Porta by Austria's XXXLutz. Porta trades as porta Möbel, SB Möbel Boss and Möbel LETZ in Germany and as ASKO in Czechia and Slovakia. The deal would combine more than 140 Porta stores with more than 1,800 stores under XXXLutz brands such as XXXLutz, Mömax, Roller, Poco, Möbelix and Home24. The Commission's preliminary concerns cover furniture retail in Germany, Czechia and Slovakia, and furniture procurement from manufacturers in Germany, Czechia, Slovakia and Poland, where Porta's brands would join XXXLutz's purchasing association GIGA International. The deal was notified on 7 September 2026; the Commission has until 25 February 2027 to decide. Separately, it is investigating whether the parties took steps towards the change of control before notification (gun jumping, case M.11895.AP). The price was not disclosed.

Our take The procurement angle matters as much as the store overlap: the Commission is looking at whether Czech, Slovak and Polish furniture makers would lose one of the very few large customers that buy outside the GIGA association. For buyers of manufacturers selling to both groups, customer concentration is the key valuation number. Until February 2027 the ASKO network stays in limbo, and if the case ends with remedies, store divestments in Czechia or Slovakia are one possible outcome.
