Warsaw-listed Sygnity buys German software firm g.on experience from its majority shareholder for about €7.2m

Sygnity S.A. reported that on 2 October 2026 its wholly owned Dutch subsidiary Tessara Blue B.V. signed an agreement with Sygnity's majority shareholder, TSS Europe B.V., under which Tessara acquired 100% of g.on experience gmbh, based in Münster, Germany. The preliminary price was about €7.2 million and is subject to a post-closing settlement under a mechanism set out in the agreement. g.on develops, produces and maintains software for managing complex infrastructure using geolocation; its key customers include airports, industrial and chemical plants, shopping and residential centres, electricity suppliers and public administration. Sygnity says the purchase fits its strategy of investing surplus cash in a group of independent IT vendors offering critical, own-product solutions to specific industries, and that it had flagged its interest in g.on in reports since 2022.

Our take Two features matter. First, it is a related-party deal: the seller is Sygnity's own majority shareholder, so the post-closing price mechanism is what minority shareholders will watch. Second, it shows the model — a listed company using surplus cash to collect niche vertical-software businesses with their own products, via a holding subsidiary. That buyer type pays for recurring revenue in a defined niche rather than for headcount.
