Star Energy completes sale of Croatian geothermal developer IGeoPen to Enna Geo

On 14 October 2026 AIM-listed Star Energy Group said it had completed the sale of its Croatian subsidiary IGeoPen d.o.o. to Enna Geo d.o.o., following its announcement of 24 April 2026. IGeoPen's direct parent is A14 Energy Limited, owned 71% by Star Energy and 29% by its JV partner Peninsula International PTE Ltd. The consideration is an initial €1.5 million in cash, of which Star Energy's share is €1.3 million, plus an earn-out of €0.5 million per licence on three geothermal licences, payable on the commercial operation date of a geothermal power plant developed on each licence; Star Energy's potential share of the earn-out is €1.5 million. Star Energy says the sale releases €5.2 million of restricted cash and removes future capital commitments under the Croatian licences, and that it will repay €2.7 million of its Kommunalkredit facility.

Our take The structure shows how licence-stage energy assets change hands: a small upfront payment, with most of the potential value tied to each plant actually reaching commercial operation. For the seller the bigger gain is on the balance sheet — restricted cash released and capital commitments gone — rather than in the price; the development risk moves to the buyer, and the earn-out is paid only if that risk is overcome.
