Romgaz cleared to take over fertiliser assets of Azomureș

Romania's Competition Council announced on 11 September 2026 that it has authorised the transaction by which SNGN Romgaz S.A. takes over certain assets from Azomureș S.A. The announcement is specific about what changes hands: the assets used in the production of chemical fertilisers and industrial products, together with the contracts and the employees needed to carry on the acquired activity. In its assessment the authority also took into account what Romgaz presented about how the acquired activity will be organised and run, so that it operates under market conditions and in compliance with competition and state aid law. SNGN Romgaz S.A. is Romania's main natural gas producer; the Romgaz group explores for, produces and sells natural gas, stores gas underground, generates electricity and provides auxiliary services in the gas sector. Azomureș S.A., part of the Ameropa group, specialises in producing and selling nitrogen-based fertilisers. The decision will be published once confidential information has been removed. No price, revenue or headcount figures appear in the announcement.

Our take The structure is the interesting part. Romgaz is not buying Azomureș; it is buying the plant, the contracts and the people needed to keep making fertiliser. For a gas producer that logic is direct — nitrogen fertiliser is essentially gas converted into a product, so the buyer is moving down its own value chain and turning a customer's plant into its own outlet for molecules. It is also worth noting what the regulator dwelt on: not market share, but the assurance that the acquired activity would be run on market terms, in line with state aid rules. That is the extra layer a state-controlled buyer brings to a transaction, and it lengthens the process in ways a private buyer's process does not. Owners of industrial assets should read the asset-transfer form carefully. When contracts and employees are named as part of the perimeter, the negotiation has already gone well past price into who carries which obligation.
