Prosperus fund cleared to acquire Vilnius shopping centre Ozas from NEPI Rockcastle in a €200m deal

On 5 October 2026 the Lithuanian Competition Council cleared UAB Investicijų valdymas „Prosperus“ to acquire, indirectly through the investment company Prosperus Retail Property Fund, 100% of the shares of UAB Ozantis and UAB NEPI Rockcastle Lithuania and take sole control of both. The notification was filed on 14 September 2026; the Council found that the deal would not create or strengthen a dominant position. Ozantis owns the Ozas shopping and entertainment centre in Vilnius and leases retail premises; NEPI Rockcastle Lithuania provides asset management services to Ozantis. Prosperus manages funds that invest in retail, industrial and warehouse real estate in the Baltic states, as well as in defence, energy and public-private partnership properties. The sale agreement was announced on 18 September 2026. NEPI Rockcastle put the gross transaction value at €200 million and estimated net proceeds at €179 million — a 13% premium to the property's IFRS net asset value as of 30 June 2026 — and said completion is expected in the fourth quarter of 2026. Ozas was its only asset in the Baltic region; after acquiring it in 2018, NEPI Rockcastle expanded the gross lettable area from 62,400 m² to about 70,600 m² across around 200 retail units. According to Prosperus, the fund aims to reach at least €1 billion of assets within 18 months and plans one or two further acquisitions in the next six to twelve months. Clearance is not completion.

Our take NEPI Rockcastle is not selling a problem asset: it calls Ozas a successful investment and prices the exit at a 13% premium to June book value. It is selling because one shopping centre in one country does not fit a portfolio it is concentrating in larger CEE markets and Spain. That is a common route for good assets to reach local owners — a regional group simplifies, and domestic capital that treats the same property as a core holding rather than an outlier pays above book. For Prosperus, Ozas is the anchor asset of a fund that has set itself a €1bn target within 18 months; the one or two further deals it has flagged for the next year will show whether that pace is realistic.
