Moliera2 pays PLN 5.3m for 76% of AI and influencer marketing firm Zodi Labs

Moliera2 S.A., listed on NewConnect, reported on 30 September 2026 that it had completed the purchase of 760,000 shares in Zodi Labs S.A. of Warsaw, representing 76% of its share capital. The final total price was PLN 5,300,001, paid in full on the same day. When it signed the preliminary agreements on 30 July (ESPI 11/2026) with two companies and one individual, Moliera2 described the target as active in AI and influencer marketing and said the parties valued 100% of the company at PLN 6.9 million. In the same report it stated that the company's revenue in 2025, its first year of operation, was about PLN 8.5 million, with a net loss of about PLN 0.4 million. On 16 September Moliera2 disclosed a loan agreement to finance the purchase (ESPI 13/2026). The remaining 24% stays with the existing shareholders.

Our take The price works out at just under PLN 7 million for 100%, or about 0.8 times first-year revenue, for a business that was loss-making in that year. In marketing services, buyers price on revenue only when they believe the client base and the team will stay — which is why a quarter of the shares remains with the founders. The deal shows how a listed buyer prices a young agency: it pays for growth without profits, but at a revenue multiple below one rather than at software-style valuations.
