MOL terminates ALTEO–Waberer's share transaction after regulatory approvals miss the deadline

MOL Plc announced on 1 October 2026 that it has terminated the transaction it announced on 1 April 2026 under the title "MOL increases its stake in ALTEO Plc. to nearly 40% and divests its 15% stake in WABERER'S INTERNATIONAL Plc." According to MOL, not all required regulatory approvals had been obtained by the deadline set in the sale and purchase agreements, which entitled MOL to terminate the agreements and not proceed. MOL exercised that right and notified the counterparties.

Our take The case is a reminder that a signed SPA is not a closed deal. Regulatory approvals and the long-stop date — the date by which conditions must be met — decide whether a transaction happens, and when the deadline passes, a party that has changed its mind can walk away without breaching the contract. Here the termination right after the deadline lay with MOL, and it used it.
