MedTech Solutions closes its PLN 3m purchase of hospital supplier Good For You Medical, paid mostly in its own shares

MedTech Solutions S.A. of Warsaw reported on 30 September 2026 that, with all conditions of the investment agreement of 27 May met, it had closed the acquisition of 100% of Good For You Medical sp. z o.o. (GFYM) of Lusowo from its owner Jarosław Brudz. GFYM distributes medical devices — mainly orthopaedic and surgical products, including implants, surgical instruments and consumables — under distribution agreements with foreign manufacturers. It sells mostly to hospitals, including through public tenders, and has relationships with about 100 hospitals in Poland. The total price is PLN 3.0 million. The seller contributed 83% of GFYM in kind for 2,699,201 new series D shares of MedTech Solutions at PLN 0.9262 each, valued at PLN 2.5 million; the remaining 17% was bought for PLN 500,000 in cash, payable within seven business days. The seller is also entitled to a conditional earn-out on terms set out in report 18/2026. GFYM is MedTech Solutions' first subsidiary; the company will report consolidated results from Q3 2026.

Our take Five-sixths of the price is paid in the buyer's shares, so the seller becomes a shareholder of MedTech Solutions and keeps an interest in how the combined business performs — plus an earn-out on top. What a buyer gets in a small distributor is clear from the announcement: distribution contracts with foreign manufacturers and relationships with about 100 hospitals, including tender experience. Those relationships are what a buyer pays for, and they are also why share-based payment and earn-outs are used to keep the seller involved after closing.
