Poland's Logintrade has signed an agreement to take control of Czech procurement-software company PROEBIZ

Logintrade S.A., a Wrocław-based provider of software for digitalising purchasing processes, reported on 7 October 2026 that on 6 October it concluded an agreement resulting in its taking ownership control of PROEBIZ s.r.o., based in Ostrava, Czech Republic. PROEBIZ provides IT solutions supporting companies' purchasing and sales processes. Under the agreement Logintrade will obtain 75% of PROEBIZ's share capital and 75% of the votes at its shareholders' meeting. The company presents the deal as part of its strategy of strengthening its position in procurement digitalisation and expanding into foreign markets, and expects greater scale, a broader product offer and operational and technological synergies. The price, the sellers and PROEBIZ's financials were not disclosed in the report.

Our take A 75% stake rather than 100% is a common structure in small cross-border software deals: the buyer gets control and consolidation, the founders or managers keep a quarter and stay tied to the result. For a niche B2B software company, entering a neighbouring market by buying a local player with existing customers and language-specific product is usually faster than selling into it from abroad. The useful signal is that Polish listed software companies in this niche are buying Czech and Slovak software houses across the border, not only domestically.
