Herkules signs conditional deal to sell concrete-mast maker Gastel Prefabrykacja to Fuchs Europoles for PLN 19.1 million

Warsaw-listed Herkules S.A. reported that on 1 October 2026 it signed a conditional preliminary agreement with Fuchs Europoles Polska sp. z o.o. of Gdańsk to sell 12,566,000 shares — 100% of the capital and votes — of its subsidiary Gastel Prefabrykacja S.A. of Karsin. The price is PLN 19,131,000, fixed and final, with no adjustment after the final agreement. The final agreement depends on the effective release of security that the subsidiary granted to a leasing company and on Herkules' corporate approvals; it is to be signed within five business days after these conditions are met or waived. The agreement contains no contractual penalties, and the seller's liability for representations and warranties is capped at the price actually paid. Herkules links the sale to its review of strategic options announced in October 2025. According to its own website, Gastel Prefabrykacja makes spun prestressed concrete masts (telecom, energy, advertising) up to 70 m, reinforced concrete containers and other precast elements at its plant in Karsin, Pomerania.

Our take Two terms stand out. The price is a locked, fixed amount with no post-closing adjustment, and warranty exposure is capped at the price — both clean terms, typical when a seller is exiting a non-core business. And the remaining condition is practical rather than commercial: releasing security held by a leasing company. Encumbrances given to lenders and lessors are a frequent last-mile obstacle in small-company sales.
