Elisa Eesti cleared to acquire 100% of business IT provider PRO IT Teenused

Estonia's Competition Authority decided on 28 September 2026 (decision 5-5/2026-034, published 29 September) that Elisa Eesti AS may acquire control of PRO IT TEENUSED OÜ. According to the decision, Elisa Eesti signed a share purchase agreement on 7 August 2026 with HM Consult OÜ and MH302 OÜ to buy 100% of PRO IT; the notification was filed on 31 August. Elisa Eesti belongs to the group of Elisa Oyj, listed on Nasdaq Helsinki. PRO IT provides IT services to business clients: managing and maintaining network solutions — including giving clients the use of its own equipment and configuring, monitoring and repairing it — managing workstations and servers, and selling IT hardware. It does not provide electronic communications services or internet connections. The deal fell under merger control because both parties' Estonian turnover exceeded the thresholds: combined above €6 million and each above €2 million. No interested party submitted objections. No price was disclosed.

Our take A telecom operator buying a managed IT provider is a familiar pattern: the operator already sells connectivity to businesses and wants the recurring service layer on top — network management, devices provided as a service, workstation support. For telecom buyers, the detail that matters is the business model: contracts where the provider owns the equipment and charges for its use and maintenance produce predictable monthly revenue, which is exactly what they look for. PRO IT's Estonian turnover was above €2 million, which shows such targets need not be large to attract a listed group.
