Dr.Max cleared to take over the business of 18 Marcos Provit pharmacies in Romania

Romania's Competition Council announced on 21 September 2026 that it has authorised the transaction through which Dr.Max SRL takes control of the business carried on by 18 pharmacies previously operated by the Marcos Provit group. The authority's wording is worth keeping precise: what changes hands is the activity of the 18 pharmacies, not the Marcos Provit group itself. The pharmacies operate in the counties of Sibiu, Vrancea, Galați, Brașov and Ilfov. Dr.Max SRL is active in the retail sale of pharmaceutical and parapharmaceutical products and belongs to the group controlled by Penta Investments Limited, an investment group specialising in long-term investments; in Romania, Penta is active mainly in the pharmaceutical sector and in gambling. The Competition Council found that the operation does not raise significant obstacles to effective competition on the Romanian market or on a substantial part of it, and that there are no serious doubts as to its compatibility with a normal competitive environment. The decision will be published on the authority's website once confidential information has been removed. No price, revenue or employee figures appear in the announcement.

Our take Two details in a short announcement are worth an owner's attention. First, what was bought: the business of 18 pharmacies, not the company that ran them. In a business transfer the buyer takes the outlets, the licences and the trading, and decides item by item what else comes along — leases, staff, stock, supplier terms. The selling company stays behind with whatever the contract did not name, including its history. Sellers tend to discover that asymmetry late, and it is one of the most common reasons a headline price and the money actually received are not the same number. Second, where the pharmacies are: Sibiu, Vrancea, Galați, Brașov, Ilfov — counties, not Bucharest. Consolidators in Romanian pharmacy retail are buying coverage, and coverage is assembled out of small regional networks that a national chain cannot open fast enough on its own. If you own one of those networks, the buyer is not interested in your brand. They are interested in your locations and the prescriptions that walk through them. No price was disclosed, and in a business transfer it rarely is.
