Cris-Tim signs deal to buy its main ready-meals rival Via Trend and Romania's largest sandwich maker Snack 4U

Cris-Tim Family Holding S.A., listed in the Premium category of the Bucharest Stock Exchange, reported that on 2 October 2026 it signed a sale and purchase agreement with Brainfly Ltd. for 100% of Via Trend Ready Meals S.R.L. Via Trend fully owns Snack 4U Concept S.R.L., so on completion Cris-Tim will hold Via Trend directly and Snack 4U indirectly. The company describes Via Trend as its main competitor in ready meals, with comparable revenue and a similar product range, and Snack 4U as Romania's largest sandwich producer. Both make own brands (Daniela's, Paparude, Snack 4U) and private label for international retail chains. They run three production units — two owned, one leased — in Moara Domnească (Ilfov), Pietroasele (Buzău) and Bucharest, including a recently built plant of about 8,000 m², and employ 380 people. Management's indicative, unaudited estimate of the two companies' combined adjusted annual averages for 2023–2025: revenue about RON 143.2 million, EBITDA RON 20.7 million (margin about 14.5%), net profit RON 8.9 million. The Romanian Competition Council has authorised the deal and the foreign-investment screening clearance has been obtained; completion is expected by the end of November 2026, subject to the remaining conditions in the agreement. The price was not disclosed.

Our take The filing spells out the build-versus-buy logic. At its IPO Cris-Tim planned about RON 100 million for a new ready-meals plant; the target already has a recently built unit of comparable size, so the company now expects to revise that capex significantly and to consolidate production into at most two units. For a buyer, an existing modern plant with customers and staff can be worth more than its book value because it removes construction time and execution risk. Note also the order of events: competition and FDI approvals were secured before the signing was announced.
