Cloud Technologies agrees to buy the TrueData business and brand in the US for USD 1.1m

Warsaw-listed Cloud Technologies S.A. reported on 30 September 2026 that it had signed a conditional agreement with TrueData Solutions Inc. to acquire 100% of a newly formed US special-purpose company. Closing will take place once the TrueData brand and specified commercial contracts have been transferred into that company. The total price is USD 1.1 million for the shares and a licence to the technology needed to run the data sales business. USD 0.5 million is payable upfront when the agreement takes effect and the remaining instalments within 12 months, all in cash. The price lies within the range of an external valuation by an independent adviser, and the agreement contains warranties from both sides. The acquired company will be renamed TrueData LLC and will continue to operate under the TrueData brand in North America. Cloud Technologies says the deal expands its international data distribution network in line with its strategy.

Our take This is not a share purchase of the seller's company but a carve-out: the seller moves the brand and selected contracts into a new entity, sells that entity and licenses the technology rather than transferring it. For the buyer, this limits inherited liabilities and lets it pay for exactly the revenue-generating parts; for the seller, it is a way to monetise one business line while keeping the rest. More than half the price is deferred over 12 months, which in practice ties the payout to the contracts actually moving across.
