Denmark's Bygma files to buy Kraków building-materials distributor Attic outright

AB Bechcicki sp. z o.o. of Wrocław notified Poland's competition authority on 27 August of its intention to acquire sole control of Attic sp. z o.o. of Kraków by buying 100% of the shares from Attic's owners. The office published the case on 1 September and the matter is under review. AB Bechcicki belongs to the Bygma group and distributes a broad range of building materials, including paints and varnishes, construction chemicals, drywall systems, roofing and window systems and finishing products. The Bygma group sells and distributes building materials to both trade and retail customers, with a portfolio spanning building materials, tools and machinery, home and garden, lighting and fixings; its companies operate mainly in Denmark and also in Poland, Sweden, Iceland and the Faroe Islands. Attic distributes insulation and finishing materials, drywall systems, roof coverings, joinery, construction chemicals, tools and building accessories, selling both wholesale and retail, and additionally provides marketing services to suppliers and transports goods. No price was disclosed and the clearance has not been granted.

Our take The plainest shape in this week's deal flow: a Nordic distributor already established in Poland buying a regional competitor whole, directly from its owners. What makes Attic buyable is not scale — it is a defined regional footprint, a product range that overlaps enough to be integrated, and adjacent services the buyer can fold in rather than rebuild. Owners of distribution businesses often assume they need national coverage before anyone will look at them. The record points the other way: a strong position in one region is exactly the thing a national buyer cannot assemble quickly enough on its own, which is why it gets bought instead.
