Polish state agency, the Tele-Fonika family foundation and Norway's DeepOcean cleared for an offshore vessel venture

Poland's competition authority issued decision DKK-191/2026 on 1 September, with the case file published on 2 September, allowing Agencja Rozwoju Przemysłu S.A. (ARP), the Bogusław Cupiał Family Foundation and DeepOcean Investco 1 AS of Oslo to form a new joint venture operating in the market for chartering specialist vessels to the offshore sector. The application was filed on 7 August. ARP is the Polish state's industrial development company, financing investment and supporting restructuring and reorganisation, and is the parent of a group of companies across several industries. The Bogusław Cupiał Family Foundation, based in Myślenice, is controlled solely by Bogusław Cupiał; through it he indirectly holds sole control of the Tele-Fonika Kable group, which manufactures and sells cables, and indirect control of the JDR group, which produces and supplies subsea cables and umbilicals. DeepOcean is controlled by DeepOcean Ltd of Jersey and is a technology-focused independent provider of marine services worldwide, including offshore renewables work — cable transport and installation, survey services, subsea intervention and cable repair for offshore wind farms. Terms were not disclosed.

Our take Three kinds of capital that rarely sit in the same vehicle: a state development agency, a private family foundation, and a foreign operator with the vessels and crews. Each holds something the other two cannot simply buy — a public balance sheet, cable manufacturing already inside the family group, and the operational ability to lay and repair what gets made. Worth noting separately is the vehicle the family capital sits in. A family foundation, rather than a personal holding company, is now the structure through which one of Poland's larger private industrial groups does this kind of deal — a form Lithuanian and Latvian owners have only recently been given, and one that changes how a founder can commit capital to a venture without unwinding the group behind it.
