Antalis has signed to buy the Papyrus paper distribution businesses across the Baltics and CEE

On 2 October 2026 Papyrus AB and Papyrus GmbH signed a share and asset purchase agreement with the French paper distributor Antalis S.A.S. Under it, Antalis would acquire control of Papyrus OÜ (Estonia), SIA Papyrus (Latvia), UAB Papyrus Lietuva (Lithuania), Papyrus Hungaria Zrt., Papyrus Sp. z o.o. (Poland), Papyrus Bohemia s.r.o. (Czechia), Papyrus Romania SRL, Papyrus Schweiz AG, OptiGroup SSC Kft. and, as an asset deal, the business of Papyrus GmbH in Germany. The Estonian Competition Authority received the notification on 5 October and published it on 6 October; third parties have seven days to comment. According to the non-confidential summary, the targets sell printing and graphic papers, office paper, envelopes, visual communication materials, hygiene and cleaning products and industrial packaging, with sampling, storage, cutting and logistics services. In Estonia only Papyrus OÜ is active, as a wholesaler of printing and graphic papers, office paper, envelopes and packaging. Antalis operates in 31 countries, serves more than 100,000 customers through 120 distribution centres and is solely controlled by KPP Group Holdings. The parties overlap in paper products and packaging; the filing describes these markets as EEA-wide or Baltic-wide, and notes that if paper sales were defined nationally, they would be a horizontally affected market. The price was not disclosed.

Our take The filing states the reason plainly: digitalisation has cut demand for paper and pushed distributors to consolidate, and Antalis wants to use both companies' existing infrastructure to optimise logistics. That is the typical endgame in a shrinking distribution category — volumes fall, fixed warehouse and delivery costs do not, and the buyer is the competitor who can close overlapping depots. For buyers of smaller paper, packaging or office-supply distributors in the region, one strategic rival for targets is gone, while the remaining large player gets bigger in every Baltic market at once.
