Alpek has signed to buy Carpenter's loss-making Estonian foam converter

Estonia's Competition Authority published on 9 October 2026 a merger notification under which Alpek OÜ plans to acquire sole control of Carpenter Engineered Foams OÜ. According to the non-confidential summary, Alpek and the Finnish Carpenter Engineered Foams Oy have signed a share purchase agreement for 100% of the Estonian company, which has no subsidiaries. Third parties have seven days to comment. Both companies import polyurethane foam in blocks, convert it — sheet, vertical, CNC contour and profile cutting — and sell the converted products mainly to Estonian customers; their overlap is foam conversion and wholesale of converted products in Estonia. Carpenter Estonia stopped pouring foam blocks in summer 2025 and now only converts imported foam. The filing states that Alpek's foam unit has been loss-making since 2024 and that Carpenter's Estonian operation remained loss-making after production was closed. Carpenter is divesting as part of integrating the specialty foams business it acquired from Recticel in 2023. The price was not disclosed.

Our take The filing is unusually candid: both sides are losing money in Estonian foam conversion, and the buyer describes the deal as a way to secure the 'long-term sustainability and survival' of the activity in Estonia. This is consolidation for capacity utilisation, not for growth — two half-loaded cutting operations become one. The realistic buyer of a sub-scale industrial processor is often the direct local competitor, and the seller here is a group that bought the business as part of a larger carve-out and now has no reason to keep a small loss-maker.
